By accessing and using Seatuationship ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of those changes.

2. Description of Service

Seatuationship is a web-based seating chart creation tool designed to help users organize seating arrangements for various events, including classrooms, weddings, conferences, and other gatherings. The Service provides tools for managing guest lists, creating seating arrangements, setting seating rules, and generating printable seating charts.

3. User Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.2 Accurate Information

You agree to provide accurate, current, and complete information when using the Service and to update such information to maintain its accuracy.

3.3 Verification of Seating Arrangements

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL SEATING ARRANGEMENTS BEFORE YOUR EVENT. While Seatuationship provides automated seating tools and features, these are aids only and do not replace your responsibility to review, verify, and approve all seating assignments. You must not rely solely on the automated seating function without personal review and verification.

4. Limitation of Liability

4.1 No Liability for Event Outcomes

SEATUATIONSHIP AND ITS OWNERS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY OUTCOMES, CONSEQUENCES, OR RESULTS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Seating arrangement errors or conflicts at your event
• Guest dissatisfaction with seating assignments
• Event disruptions or social conflicts
• Errors in automated seating algorithms
• Inappropriate or suboptimal seating placements
• Any direct, indirect, incidental, consequential, or punitive damages

4.2 Data Loss

WE SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, OR DELETION OF YOUR DATA, INCLUDING GUEST LISTS, SEATING CHARTS, OR PROJECT INFORMATION. While we implement reasonable measures to protect and preserve your data, we cannot guarantee against data loss. You are responsible for maintaining backup copies of all important information.

4.3 Service Availability

We do not guarantee that the Service will be available at all times. The Service may be interrupted, suspended, or modified without notice for maintenance, updates, or technical issues. We shall not be liable for any damages resulting from service unavailability.

4.4 Maximum Liability

To the maximum extent permitted by law, our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $50, whichever is greater.

5. "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. We do not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The automated seating algorithm will produce optimal results for your event

6. Automated Seating Feature Disclaimer

The automated seating feature ("Smart Auto-Seating") is a tool to assist you in creating seating arrangements, but it is NOT a substitute for your own judgment and verification. The algorithm attempts to optimize seating based on the rules and preferences you provide, but:

• It may not account for all social dynamics, relationships, or preferences
• Results may vary and may not be optimal for your specific situation
• You must review and approve all automated assignments before your event
• We are not responsible for any conflicts or issues arising from automated seating

7. Subscription Plans and Payments

7.1 Subscription Tiers

Seatuationship offers Free, Basic, and Pro subscription tiers with different features and limitations. Tier limits are subject to change. Paid subscriptions are billed monthly or annually through Stripe.

7.2 Billing and Cancellation

Subscriptions automatically renew unless canceled. You may cancel your subscription at any time through your account settings or Stripe customer portal. Refunds are not provided for partial subscription periods, except as required by law.

7.3 Price Changes

We reserve the right to change subscription prices at any time. Price changes will apply to new subscriptions immediately and to existing subscriptions upon renewal. We will provide notice of price changes.

8. Intellectual Property

8.1 Our Rights

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, and software, are the property of Seatuationship and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Rights

You retain all rights to the content you create using the Service, including guest lists, seating arrangements, and project data. By using the Service, you grant us a limited license to store, process, and display your content for the purpose of providing the Service to you.

9. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or in violation of any applicable laws
• To transmit any harmful, offensive, or inappropriate content
• To attempt to gain unauthorized access to any part of the Service
• To interfere with or disrupt the Service or servers
• To impersonate any person or entity
• To harvest or collect data about other users
• To reverse engineer, decompile, or disassemble any part of the Service

10. Data Backup and Export

YOU ARE STRONGLY ENCOURAGED TO REGULARLY EXPORT AND SAVE COPIES OF YOUR DATA. While we implement backup systems, we are not responsible for data loss. Use the export features available in the Service to maintain your own backups of important information.

11. Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or abusive behavior. Upon termination, your right to access and use the Service will immediately cease.

12. Third-Party Services

The Service uses third-party services including Firebase (Google) for hosting and authentication, and Stripe for payment processing. Your use of these services is subject to their respective terms and conditions. We are not responsible for the actions, policies, or services of these third parties.

You agree to indemnify, defend, and hold harmless Seatuationship and its owners, operators, affiliates, and employees from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms and Conditions
• Your violation of any rights of another party
• Content you submit or create using the Service
• Events or outcomes resulting from seating arrangements created with the Service

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15. Changes to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without liability.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Seatuationship regarding your use of the Service and supersede all prior agreements and understandings.

YOU FURTHER ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL SEATING ARRANGEMENTS AND THAT SEATUATIONSHIP SHALL NOT BE LIABLE FOR ANY EVENT OUTCOMES OR DATA LOSS.
